This uDLVR Driver Addendum is an addendum to the Agreement between you and uDLVR, and it sets forth additional terms and conditions that are applicable to your provision of delivery services through the uDLVR Platform. Capitalized terms herein have the meaning set forth in the Agreement. This addendum replaces and supersedes any prior Driver Addendum that you have previously agreed to.

 

Driver Earnings

You are entitled to earnings for the delivery services you perform for Customers, as provided in the Agreement and this Driver Addendum. The “Driver Earnings” for a completed delivery consist of a uDLVR base fare ($15 if item is small, and $30 if item is medium, $50 if item is large, or construction materials), plus distance fee calculated on the given time slots:

6:00am-12:00pm - $1.75 per mile

1200pm-3:00pm - $2.00 per mile

3:00pm-6:30pm - $2.25 per mile

6:30pm-10:00pm - $2.00 per mile

Plus a item size fee (based on total of the uDLVR base fare and the distance fee):

item fee med - 20%

item fee large - 25%

item fee construction - 30%

​

Drivers net 70% of the total delivery fee.  uDLVR takes the remaining 30%.

The specific earnings structure and rates are available in your Driver dashboard. You may also earn additional payments, including tips provided by Customers and any bonuses or incentives based on your provision of delivery services.

 

Payments, Adjustments, and Settlement

uDLVR will collect payments owed to you by Customers and other third parties as your limited payment collection agent, and you agree that the receipt of such payments by uDLVR satisfies the payer's obligation to you. uDLVR reserves the right to adjust or withhold all or a portion of the Driver Earnings or other payment owed to you (except tips) (i) if we believe that you have attempted to defraud or abuse Customers, uDLVR, or uDLVR's payment systems, (ii) in order to resolve a Customer complaint (e.g., you took an inefficient route or failed to properly complete a delivery in the uDLVR application when the delivery was over), or (iii) if you complete a delivery at a location that is different than the destination submitted through the uDLVR App. uDLVR's decision to adjust or withhold the Driver Earnings or other payment in any way shall be exercised in a reasonable manner. If you have agreed to any other amounts being deducted from your Driver Earnings and/or other payments with any party (such as vehicle rental or lease payments), those amounts will be deducted before remittance to you, and we may determine the order of these other deductions if allowed by law. We will use reasonable efforts to ensure that your Driver Earnings and any other payments to you will be paid to you on at least a weekly basis. You acknowledge and agree that all payments owed to you shall not include any interest and will be net of any amounts that we are required to withhold by law.

Driver Payouts

We offer a flexible payout scheme for our drivers. While the traditional payment schedule remains weekly, you now have the option to instantly cash out your accumulated earnings for a transaction fee of $0.85. Please note that to avail of the instant payout feature, there is a weekly minimum earning threshold of $1700. This feature is designed to give you better control over your earnings and facilitate quicker access to your funds.

 

uDLVR Driver Fees

Upon completion of the application process to become a uDLVR driver, a one-time fee of $30 ("uDLVR Driver Fee") will be assessed. This fee contributes to the administrative costs associated with your onboarding, including but not limited to service development, background check processing, and the preparation and shipment of your welcome package.

The uDLVR Driver Fee is fully reimbursable upon the completion of your 6th delivery. Upon achieving this milestone, the $30 fee will be credited to your weekly earnings balance. This is to both incentivize commitment to the platform and to offset initial costs for dedicated drivers. This fee is also utilized to ensure that only dedicated drivers are committed to joining our driver community

 

 

Payment Processing

Payment processing services are provided by Stripe and subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (collectively, the "Stripe Terms"). By using the uDLVR Platform to receive payment proceeds, you agree to be bound by the Stripe Terms, which may be modified from time to time. As a condition of uDLVR enabling payment processing services through Stripe, you authorize uDLVR to obtain all necessary access and perform all necessary activity on your Stripe Connected Account to facilitate your provision of delivery services as contemplated by the Agreement and your relationship with uDLVR. You further agree to provide accurate and complete information about you and your business, and authorize uDLVR to share it and transaction information with Stripe for the purposes of facilitating the payment processing services provided by Stripe. uDLVR reserves the right to switch payment processing vendors or use alternate or backup vendors in its discretion. Payments will be processed on a weekly basis.

 

 

Promotions and Coupons

uDLVR may, at its discretion, offer promotional or other Coupons to Customers, however such discounts shall not impact the Driver Earnings or any other payments owed to you. You agree that uDLVR may sell passes or subscriptions (each, a “Delivery Pass”) on your behalf to generate additional leads for your delivery services. Delivery Passes entitle Customers to receive discounted or capped fares for qualifying deliveries (subject to certain limitations, terms, and conditions). When a Customer uses a Delivery Pass to receive a qualifying delivery, uDLVR will use the Delivery Pass payment in satisfaction of the delivery total Charges subject to the terms and conditions of the Delivery Pass. Your payment for delivery services arranged with a Delivery Pass will be determined based on the Driver Earnings for the delivery as provided in this Driver Addendum. In the event that Delivery Pass collections from a Customer exceed qualifying delivery Charges (if any), you agree that as between you and uDLVR, and to the extent permitted by law, uDLVR may retain such excess amounts in consideration for uDLVR’s sales and marketing of Delivery Passes.

 

No Additional Amounts

You acknowledge and agree that, for the mutual benefit of the parties, through advertising and marketing, uDLVR and its affiliates may seek to generate additional demand for your delivery services from new and existing Customers. You acknowledge and agree such advertising or marketing does not entitle you to any additional monetary amounts beyond the amounts expressly set forth in this Agreement and Driver Addendum.

 

Communications

As set forth in the Agreement to which you agreed, Users (including Drivers) expressly consent and agree to receive communications from uDLVR, its affiliated companies, and/or Customers using written, electronic, and/or verbal means, including by manual dialing, email, leaving prerecorded/artificial voice messages, push notifications, and/or using an automatic telephone dialing system to text message or call your mobile/cellular telephone number, as necessary to complete transactions requested by you and to service your account, and as permitted by applicable law, even if that phone number is registered on any federal and/or state Do-Not-Call/Do-Not-email registry/ies. Delivery service-related messages from uDLVR, its affiliated companies, or Customers may include, but are not limited to, operational communications concerning your User account or the use of the uDLVR Platform or delivery services. Additionally, we offer you the opportunity to enroll to receive recurring promotional SMS/text messages or calls from uDLVR. Promotional messages may include updates concerning new and existing features on the uDLVR Platform, communications concerning marketing or promotions run by us or our third-party partners (including potential opportunities, offers, and/or products for Drivers), and news concerning uDLVR and industry developments. You understand that you are not required to consent to receive promotional texts or calls as a condition of any purchase with uDLVR, including using the uDLVR Platform or delivery services. Your participation in this program is completely voluntary. We do not charge for this communication service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider. If you change or deactivate the phone number you provided to uDLVR, you agree to update your account information to help prevent us from inadvertently communicating with anyone who acquires your old number. To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the communication service, any errors in such information, and/or any action you may or may not take in reliance on the information or communication service.
